Trustee Information
Rights, Duties and Responsibilities of Trustee
Trustee is responsible for managing the REIT with integrity and vigilance as professionals, including with expertise by treating trust unitholders fairly in the best interests of the trust unitholders as a whole, and in accordance with applicable laws, trust's founding contract, the purpose for establishing a REIT, resolutions of the trust unitholders, and additional obligations made to the trust unitholders (if any).
In performing such duties, the Trustee may seek the opinion of independent professional advice as deemed appropriate by the Trustee. In addition, the Trustee's duty requires the Trustee to refrain from acting in conflicts of interest with the interests of the REIT, whether it is for the benefit of the Trustee himself or the benefit of others unless it is a claim for compensation to act as a Trustee or a transaction with measures or mechanisms to verify and balance the fairness of the transaction, and the Trustee demonstrates that it has managed the REIT fairly and has disclosed the relevant information to the trust holders beforehand sufficiently and unitholders who have heard the information have not expressed objections. Disclosure of such information and objections shall be in accordance with the Announcement of Sor. 27/2014and the relevant rules of the Board of Directors. SEC
